By accessing or using the Platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform.

1. Accounts

To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep such information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Nastech promptly of any unauthorized use of your account.

2. Platform Role and Marketplace Structure

Nas Technologies LLC (“Nastech,” “we,” “us,” or “our”) provides the Platform as a technology service that enables auctions and marketplace transactions operated by independent Clients. Nastech is not the seller, auctioneer, consignor, or owner of any items listed for sale on the Platform. All listings, auctions, and transactions are conducted by Clients, who are solely responsible for the accuracy of listings, pricing, auction terms, and fulfillment of transactions.

3. User Content

You may submit or upload content to the Platform, including images, descriptions, messages, and other materials (“User Content”). You retain ownership of your User Content; however, you represent and warrant that you have all rights necessary to provide such content and to grant the rights described in these Terms.

4. License to Nastech

By submitting User Content, you grant Nastech a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, adapt, publish, display, and process such content for the purpose of operating, maintaining, and improving the Platform. This includes processing content for image enhancement, analytics, and generating automated outputs, provided that such use is consistent with applicable law and does not identify you in aggregated or derived outputs.

5. Bidding and Transactions

The Platform enables users to participate in auctions and marketplace transactions. By placing a bid, you agree that your bid constitutes a binding offer to purchase the applicable item in accordance with the terms of the auction. If you are the winning bidder, you are obligated to complete the transaction, including payment of the purchase price, applicable taxes, fees, and shipping costs.

All transactions are between users and the Client operating the marketplace. Nastech is not a party to any transaction and does not assume responsibility for the quality, safety, legality, authenticity, or delivery of items.

6. Payments

Payments made through the Platform are processed by third-party payment providers. Nastech does not process or store full payment card numbers, CVV codes, or bank account details. By submitting payment information, you agree to the terms and conditions of the applicable payment provider.

Nastech is not responsible for payment processing errors, delays, or failures caused by third-party providers.

7. Shipping and Delivery

Shipping and delivery services are provided by third-party providers or by the Client operating the marketplace. Nastech does not control and does not guarantee shipping costs, delivery timelines, or the condition of items upon delivery. Nastech is not responsible for any issues arising from shipping, handling, or delivery of items.

8. Data Use and Platform Analytics

Your data is used to operate the Platform, facilitate transactions, and improve services. This includes processing identity data, transaction data, behavioral activity, and user interactions. Nastech may process transaction and behavioral data, including bidding activity and usage patterns, to generate aggregated, de-identified datasets and derived insights for analytics, product development, and platform optimization. Such aggregated and derived data will not identify you or any individual user.

9. Artificial Intelligence and Automated Outputs

The Platform may generate automated outputs, including item descriptions, recommendations, or other content, using artificial intelligence systems. These outputs are provided for informational purposes only and may not be accurate, complete, or suitable for any specific purpose. Nastech does not guarantee the accuracy or reliability of AI-generated outputs.

10. Third-Party Services and Data Flow

The Platform relies on third-party service providers, including payment processors, shipping providers, cloud infrastructure providers, messaging services, and analytics or artificial intelligence providers. By using the Platform, you acknowledge that your data may be transmitted to such providers as necessary to operate the Platform. Nastech requires such providers to process data in accordance with applicable law and contractual restrictions.

11. Prohibited Conduct

You agree not to use the Platform in any unlawful or abusive manner. This includes engaging in fraudulent, deceptive, or manipulative behavior, such as bid manipulation, artificial price inflation, interference with auctions, or misuse of the Platform. You agree not to attempt to gain unauthorized access to the Platform or to interfere with its operation.

12. Account Suspension and Termination

Nastech reserves the right to suspend or terminate your account or access to the Platform at any time if you violate these Terms or if such action is necessary to protect the integrity, security, or operation of the Platform.

13. Disputes Between Users

Nastech is not responsible for resolving disputes between users or between users and Clients. However, Nastech may, at its discretion, assist in resolving disputes or take action to enforce these Terms and protect the integrity of the Platform.

14. Disclaimers

The Platform is provided on an “as is” and “as available” basis. Nastech makes no warranties, express or implied, regarding the Platform, including its availability, reliability, or fitness for a particular purpose. Nastech does not guarantee the accuracy of listings, the outcome of auctions, or the performance of third parties.

15. Limitation of Liability

To the maximum extent permitted by law, Nastech shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform. Nastech’s total liability shall not exceed the amount paid by you, if any, to use the Platform.

16. Arbitration and Class Action Waiver

You and Nastech agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through binding arbitration on an individual basis, rather than in court. Arbitration shall be administered by a recognized arbitration provider under its applicable rules, and the arbitration shall take place in a mutually agreed location or, if not agreed, in Delaware.

You and Nastech agree that each party waives the right to a trial by jury and the right to participate in any class action, collective action, or representative proceeding. All claims must be brought in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or misuse of the Platform.

17. Governing Law

These Terms shall be governed by the laws of Delaware, without regard to its conflict of law principles.

18. Changes to These Terms

Nastech may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
