MERX PLATFORM PRIVACY POLICY

1. Introduction
This Privacy Policy describes how MTG Services LLC, doing business as Merx Technology Group (“Merx,” “MTG,” “we,” “us,” or “our”), collects, uses, shares, and protects personal data when you access or use our marketplace, auction, analytics, recommendation, artificial intelligence, and related technology platform and services, whether branded as Merx, MTG, or another Merx product or service name (the “Platform”).
Merx provides technology infrastructure to marketplace operators (“Clients”), such as auction houses, brands, sellers, consignors, marketplace operators, and similar businesses. When you interact with a marketplace powered by Merx, you may be interacting with both Merx and the Client operating that marketplace.
Merx does not itself act as the seller, auctioneer, broker, merchant of record, consignor, authenticator, appraiser, shipping provider, payment processor, or owner of items listed on the Platform. Those roles are performed by the Client or other marketplace participants operating or participating in the marketplace, who are responsible for the underlying transactions and listings.
Clients are responsible for the underlying listings, products, services, auctions, lots, sales, purchases, fulfillment, returns, refunds, chargebacks, authenticity determinations, condition descriptions, product claims, shipping issues, taxes, and transaction disputes associated with their marketplaces.
Use of the Merx, MTG, or other brand name does not change the legal entity responsible for this Policy unless expressly stated in an applicable agreement or notice.
This Policy applies to all individuals who access or use the Platform, including buyers, bidders, sellers, consignors, account holders, marketplace visitors, and other users (“you” or “End Users”).
The Platform is not directed to children under 16, and Merx does not knowingly collect personal data from children under 16. If Merx becomes aware that it has collected personal data from a child under 16, it will take reasonable steps to delete such information.
2. Who Controls Your Data
Depending on how you interact with the Platform, different parties may be responsible for your data.
When you use a marketplace operated by a Client, that Client is typically the data controller for personal data collected in connection with that marketplace, and Merx acts as a data processor or service provider on behalf of that Client to provide the Platform and related services.
Merx may act as an independent data controller when processing personal data for its own business purposes, including account administration, Platform security, fraud prevention, service communications, legal compliance, product improvement, analytics, artificial intelligence development, recommendation systems, cross-marketplace recommendations, marketing and promotional communications where permitted by law, and creation and use of aggregated, de-identified, transformed, or derived data that does not reasonably identify you or a Client.
If you have questions about your data, you may contact the Client operating the marketplace through which you interacted and, where applicable, Merx using the contact details in Section 14.
3. Information We Collect
We collect personal data to provide, operate, secure, personalize, and improve the Platform. The types of information we collect depend on how you use the Platform.
Account and Identity Information
We collect personal information such as your name, e-mail address, username, phone number, account credentials, authentication information, account preferences, and other information needed to create, maintain, secure, and administer your account.
Transaction and Marketplace Activity
We collect information related to your activity on the Platform, including bids, bid amounts, maximum bids, timestamps, items viewed, watchlists, participation patterns, purchases, invoices, checkout activity, delivery selections, seller or consignor activity, marketplace interactions, and transaction records. This data is used to facilitate auctions, transactions, marketplace functionality, support, fraud prevention, and Platform improvement.
Module, Feature, and Agent Usage
We collect information about the modules, agents, artificial intelligence tools, premium features, integrations, usage-based services, transaction-based services, and other Platform functionality enabled or used by Clients or users, including usage volume, feature interactions, configuration settings, performance data, and related billing or operational information.
Payment Information
Payments are processed by third-party payment providers. Merx does not collect or store full payment card numbers, CVV codes, or bank account credentials. Instead, we may receive limited information such as billing name, billing address, payment tokens, the last four digits of a payment card, card type, expiration date, transaction identifiers, and payment status. This information is used for operational, reconciliation, support, fraud prevention, and compliance purposes.
Shipping and Delivery Information
We collect shipping details such as delivery address, recipient name, phone number, parcel information, shipping selections, delivery status, tracking information, and related fulfillment information in order to facilitate delivery of purchased items and support marketplace transactions.
User-Generated Content and Marketplace Content
We collect content you provide or make available through the Platform, including listing images, photographs, videos, titles, descriptions, item attributes, catalog information, condition information, metadata, messages, comments, reviews, seller or consignor content, and other materials submitted through the Platform. This includes content associated with listings, lots, goods, services, auctions, marketplace transactions, or marketplace activity.
Usage and Device Information
We collect technical information such as IP address, browser type, device information, operating system, device identifiers, cookie identifiers, session information, pages viewed, referring URLs, clickstream data, search activity, interaction data, error logs, diagnostic data, and other usage data to understand how users interact with the Platform and to improve performance, security, reliability, and functionality.
Marketing, Recommendation, and Communications Preferences
We collect information about your communications preferences, consent choices, opt-in and opt-out selections, notification settings, marketing preferences, SMS/text message preferences, e-mail preferences, push notification settings, cookie preferences, and interactions with marketplace updates, product recommendations, auction recommendations, promotional communications, and similar messages.
Information from Clients and Third Parties
We may receive information from Clients operating marketplaces and from third-party service providers such as payment processors, shipping providers, identity verification services, communications providers, analytics providers, fraud prevention providers, and other technology providers.
Certain information associated with your account or activity may be visible to Clients or other users as part of the operation of the marketplace, such as bidding activity, participation in auctions, publicly displayed listing information, seller or consignor content, or information necessary to facilitate marketplace transparency, transactions, dispute resolution, and fulfillment.
4. How We Use Your Information
We use personal data to provide, operate, secure, maintain, support, personalize, and improve the Platform. This includes facilitating auctions, processing transactions, managing accounts, providing customer support, enabling bidding activity, processing purchases, confirming winning bids, generating invoices, coordinating payment and delivery, maintaining transaction records, and supporting marketplace transparency and functionality.
We use personal data to enable marketplace transactions between users and Clients, including sharing relevant transaction details with buyers, sellers, consignors, bidders, service providers, and the Client operating the marketplace in order to complete and administer transactions.
We use data to communicate with you, respond to inquiries, provide transaction updates, send service-related notices, send account notifications, provide security alerts, and support customer service.
We may use personal data, Marketplace Content, transaction history, bidding activity, listing activity, usage activity, and preferences to provide marketplace updates, auction recommendations, product suggestions, service recommendations, personalized or non-personalized recommendations, promotional communications, cross-marketplace recommendations, search results, product discovery, and similar Platform features. Where required by law, we will obtain your consent before sending marketing communications, SMS/text messages, push notifications, or similar promotional messages. You may opt out of marketing communications at any time, although you may still receive transactional, service-related, account, security, bidding, purchase, payment, delivery, and legal notices.
Where you have opted in or where otherwise permitted by law, we may send SMS/text messages, e-mail marketing, push notifications, marketplace updates, auction recommendations, product suggestions, promotional communications, and similar messages. You may opt out of marketing communications at any time.
We may use personal data to detect, prevent, and investigate fraud, abuse, bid manipulation, payment fraud, suspicious bidding patterns, unauthorized access, harmful activity, or violations of law, our terms, marketplace rules, or Client terms.
We may use data to enhance Platform functionality, develop new features, improve performance, conduct analytics, create benchmarks, build recommendation systems, develop artificial intelligence and machine-learning tools, generate automated outputs, improve image-processing tools, create catalog intelligence, support pricing tools, optimize search, and improve marketplace intelligence.
We may use data to operate, support, personalize, improve, and measure optional modules, agents, artificial intelligence tools, premium features, integrations, usage-based services, transaction-based services, commission-based services, and other add-on Platform functionality that may be enabled by Clients or users.
Where feasible, Merx uses aggregated, de-identified, anonymized, or transformed data for analytics, artificial intelligence, machine learning, product development, model training and validation, platform optimization, and similar purposes. Merx does not use identifiable personal data for unrelated independent model training or unrelated secondary purposes unless permitted by law, disclosed in this Policy, and supported by appropriate contractual safeguards.
We also process personal data to comply with legal obligations, prevent fraud, enforce agreements, resolve disputes, protect legal rights, and protect the security and integrity of the Platform.
Where applicable, Merx relies on one or more of the following legal bases for processing: performance of a contract, compliance with legal obligations, legitimate interests in operating, securing, improving, and promoting the Platform, consent where required, and other legal bases permitted by applicable law.
SMS/Text Alerts Program
The Platform offers SMS/text notifications that sends account-related messages, announcement updates, and outbid notifications to users who have opted in. If you opt in to receive SMS/text messages, you agree to receive recurring SMS/text messages from Merx, MTG, Clients, participating marketplaces, or their service providers at the mobile number you provide. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Message frequency varies based on account activity. Consent is not required to make a purchase. Message and data rates may apply. You may opt out by replying “STOP,” and you may ask for assistance by replying “HELP.” For further support, contact support@merxtechgroup.com.
5. Aggregated, De-Identified, Transformed, & Derived Data
Merx may create, generate, retain, use, commercialize, and otherwise process aggregated, de-identified, anonymized, transformed, statistical, analytical, derived, or machine-generated data from Platform activity, personal data, Marketplace Content, listings, bids, transactions, usage activity, and interactions with the Platform.
This data may include analytics, insights, recommendations, predictions, classifications, embeddings, feature vectors, labels, normalized data, enriched data, benchmarks, pricing trends, auction outcomes, product performance information, marketplace intelligence, AI-generated outputs, machine-learning outputs, and other derived materials.
Aggregated, de-identified, transformed, and derived data will not reasonably identify you as an individual or identify a Client as the source of such data. This data may include transaction-level, listing-level, product-level, auction-level, pricing, performance, or marketplace information, provided that it does not reasonably identify you as an individual.
Merx may retain and use aggregated, de-identified, transformed, and derived data on an ongoing basis for any lawful purpose, including analytics, benchmarking, product development, artificial intelligence and machine-learning development, model training and validation, search optimization, recommendation systems, pricing tools, fraud detection, marketplace intelligence, platform optimization, and development of new products and services.
Merx implements reasonable measures designed to prevent re-identification of aggregated, de-identified, transformed, and derived data.
6. How We Share Your Information
We share personal data in order to operate the Platform, fulfill transactions, provide services, support marketplace activity, secure the Platform, prevent fraud, improve functionality, and comply with law.
Clients and Marketplace Participants
We share data with the Client operating the marketplace through which you interact, as that Client controls the underlying transaction environment. In connection with marketplace activity, certain information may be shared between participants in a transaction, such as buyers, sellers, consignors, bidders, shipping providers, payment providers, and the applicable Client, including information necessary to complete a purchase, arrange delivery, process payments, resolve disputes, prevent fraud, or administer auctions and marketplace activity.
We may share information with Clients and marketplace participants as necessary to administer listings, auctions, bids, purchases, payments, fulfillment, shipping, delivery, returns, refunds, chargebacks, authenticity claims, condition disputes, product claims, tax matters, customer support, and regulatory or legal inquiries.
Service Providers
We share data with service providers, vendors, subprocessors, contractors, hosting providers, cloud providers, payment processors, shipping providers, communications providers, SMS/text messaging providers, e-mail providers, analytics providers, artificial intelligence providers, image-processing providers, security providers, infrastructure providers, and other technology providers that help us provide, operate, support, secure, improve, and optimize the Platform.
As a general rule, Merx requires service providers to process personal data only to provide services to Merx and not for their own independent purposes. However, in limited cases, certain providers, including artificial intelligence, image-processing, analytics, infrastructure, and security providers, may retain or use limited aggregated, de-identified, transformed, or non-identifiable data for lawful purposes such as service improvement, model improvement, safety, security, debugging, quality assurance, benchmarking, analytics, abuse prevention, or development of generalized features. In such cases, Merx limits the data shared, avoids sharing directly identifiable personal data where feasible, and uses contractual safeguards designed to restrict the provider’s use of the data.
Legal, Compliance, and Safety
We may share information where we believe disclosure is necessary or appropriate to comply with law, enforce our terms, protect rights, prevent fraud, respond to legal process, protect the security or integrity of the Platform, or protect users, Clients, Merx, service providers, or the public.
Business Transfers
We may share or transfer information in connection with a merger, acquisition, financing, reorganization, spin-off, sale of assets, change of control, bankruptcy, or similar transaction involving Merx, Merx, the Platform, or related assets.
With Your Consent
We may share information with your consent or at your direction.
7. Cookies & Tracking Technologies
We use cookies, pixels, SDKs, local storage, device identifiers, and similar technologies to operate the Platform, maintain sessions, authenticate users, remember preferences, secure accounts, prevent fraud, analyze performance, improve functionality, measure engagement, personalize experiences, provide recommendations, support marketing, and understand how users interact with the Platform.
Some cookies and similar technologies are essential for the Platform to function. Others support analytics, performance, personalization, marketing, recommendations, security, and fraud prevention. Third-party providers may also use cookies or similar technologies in connection with the services they provide to us.
Where required by law, we obtain consent for non-essential cookies and similar technologies. You may manage cookie preferences through browser settings, platform tools, or any cookie preference manager we make available. Certain choices may affect Platform functionality.
8. Data Retention
We retain personal data for as long as reasonably necessary to provide, operate, secure, support, and improve the Platform; maintain accounts; complete transactions; preserve transaction history; provide customer support; prevent fraud; resolve disputes; enforce agreements; comply with legal obligations; and support the purposes described in this Policy.
Account, identity, transaction, bidding, marketplace activity, support, fraud prevention, and compliance records may be retained for the duration of the applicable Client relationship and for a reasonable period thereafter. Payment-related records retained by Merx are limited to operational and compliance records and do not include full payment card numbers, CVV codes, or bank account credentials.
Listing images, photographs, titles, descriptions, catalog information, item attributes, metadata, and other Marketplace Content may be retained and used as described in the Terms of Service, including for marketplace continuity, transaction history, resale or relisting functionality, analytics, artificial intelligence, machine-learning development, product development, recommendation systems, catalog intelligence, and platform improvement.
Aggregated, de-identified, anonymized, transformed, and derived data may be retained on an ongoing or persistent basis because it does not reasonably identify individuals.
9. International Data Transfers
Your information may be transferred to and processed in countries outside your jurisdiction, including the United States. Where required, Merx uses appropriate safeguards for such transfers in accordance with applicable law.
10. Your Rights
Depending on your location and the role Merx is playing with respect to your data, you may have rights regarding your personal data, including the right to access, correct, delete, restrict, object to processing, opt out of certain processing, withdraw consent, and request data portability where applicable.
Where processing is based on consent, you may withdraw that consent at any time. You may also opt out of marketing communications by using the unsubscribe link, instructions in the message, account settings, or other opt-out mechanism we provide.
Where Merx acts as a processor or service provider on behalf of a Client, requests should generally be directed to the Client acting as controller. We may forward or support requests as appropriate and as required by applicable law.
You may also have the right to lodge a complaint with a data protection authority.
11. California Privacy Rights
If you are a California resident, you may have rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act, including the right to know what personal information is collected, the right to request access, deletion, or correction, the right to opt out of the sale or sharing of personal information, and the right to limit the use and disclosure of sensitive personal information where applicable.
California residents may request that Merx disclose the categories and specific pieces of personal information collected about them, the categories of sources from which the information is collected, the purposes for which the information is used, and the categories of third parties to whom the information is disclosed.
The categories of personal information Merx may collect include identifiers, contact information, account information, commercial information, transaction history, bids, purchases, marketplace activity, internet or electronic network activity, device information, approximate location information derived from IP address, communications preferences, inferences, and other information described in this Policy.
Merx collects and uses personal information for the following business and commercial purposes: to operate and provide the Platform, facilitate marketplace transactions, process payments and deliveries, communicate with users, provide recommendations, personalize experiences, improve platform performance, detect and prevent fraud, comply with legal obligations, send marketing communications where permitted, develop analytics and insights, and build product features.
Merx may disclose personal information to the following categories of third parties or recipients: Clients operating marketplaces, marketplace participants as necessary to complete transactions, payment processors, shipping and logistics providers, cloud hosting providers, identity and authentication providers, communications providers, SMS/text messaging providers, e-mail providers, analytics providers, artificial intelligence providers, image-processing providers, security providers, infrastructure providers, professional advisors, legal authorities where required, and service providers supporting Platform functionality.
Merx does not sell personal information in exchange for money. However, certain disclosures, cookies, analytics, advertising, cross-context behavioral advertising, recommendation, or technology-partner activities may be considered “sharing” under California law. Where required, Merx provides California residents with the ability to opt out of such sale or sharing.
Merx will not discriminate against users for exercising their rights under applicable data protection laws.
You may exercise your rights by contacting Merx at legal@merxtechgroup.com or privacy@merxtechgroup.com, by using any privacy request form or preference tool we make available, or by using the contact information provided in Section 14. Where Merx processes personal data on behalf of a Client, requests should also be directed to the applicable Client.
At or before the time of collection, Merx provides notice of the categories of personal information collected and the purposes for which it is used.
12. Security
We use administrative, technical, and organizational measures designed to protect personal data, including access controls, encryption in transit and at rest where appropriate, logging, monitoring, least-privilege access practices, and secure infrastructure. We take commercially reasonable measures to protect personal data; however, no system is completely secure, and we cannot guarantee absolute security.
13. Changes to This Policy
We may update this Privacy Policy from time to time to reflect changes in our practices, technologies, legal requirements, Platform functionality, vendor practices, or business operations. Changes will be posted on the Platform with an updated effective date. Where required by law, we will provide additional notice or obtain consent.
